DIR-3 KYC for Directors: New Three-Year Cycle Explained

Every person who holds a Director Identification Number (DIN) has to confirm their identity and contact details with the Ministry of Corporate Affairs (MCA). This is called DIR-3 KYC. It used to be an annual filing, but the rules have now changed, so many directors are unsure when they actually need to file.

What changed in 2026?

The Companies (Appointment and Qualification of Directors) Amendment Rules, 2025 replaced the old annual requirement. From 31 March 2026:

  • KYC is required once every three years, not every year.
  • The regular due date is 30 June of the year in which your KYC falls due.
  • Any change in mobile number, email or address must be updated within 30 days, whatever your cycle.

Directors who completed KYC recently do not need to file again until their next three-year window. If you are unsure of your cycle, check your DIN status on the MCA portal before the due date.

Who must file

Anyone holding a DIN must file, including:

  • Directors of private, public and one person companies
  • Designated partners of LLPs who have a DIN
  • DIN holders who are not currently on any board

A disqualified director must also complete KYC; disqualification and KYC are separate matters.

Documents and details needed

  • PAN (mandatory for Indian nationals) and Aadhaar
  • Personal mobile number and personal email ID (each must be unique to you)
  • Current residential address with proof
  • Passport for foreign nationals
  • Valid Digital Signature Certificate (DSC) for the e-form route

What happens if you miss it

If KYC is not completed by the due date, the MCA system marks your DIN as "Deactivated due to non-filing of DIR-3 KYC". You cannot sign forms or be appointed to a new board until you file with a late fee of Rs 5,000. Your company may also face delays in its own filings because a director's DIN is inactive.

Practical tips

  • Use your own mobile number and email. Shared office numbers are rejected if another DIN holder already uses them.
  • Renew your DSC before it expires so you are not stuck at filing time.
  • Keep a note of the year your KYC falls due, especially if you hold DINs across family companies.
