DIN and DSC Explained: What Every Company Director Needs

If you are becoming a director of a company, you will come across two terms very quickly: DIN (Director Identification Number) and DSC (Digital Signature Certificate). Both are essential for incorporation and for almost every filing with the Ministry of Corporate Affairs.

What is a DIN?

A DIN is a unique identification number allotted to a person who wants to be a director. It is issued once and stays with the person for life, whichever and however many companies they join. A new director’s DIN is usually allotted as part of the SPICe+ incorporation form, or through a separate application for existing companies.

What is a DSC?

A Digital Signature Certificate is the electronic equivalent of a physical signature. MCA forms, income tax filings and many GST filings are signed with a DSC. It is issued by licensed certifying authorities after identity verification, and is usually stored on a secure USB token.

Annual DIR-3 KYC

Every person holding a DIN must complete DIR-3 KYC as prescribed by the MCA, confirming their current mobile number, email and address. If it is not done on time, the DIN is deactivated and can be reactivated only after filing with a late fee. See our DIR-3 KYC service.

What happens if a DIN is deactivated?

  • The director cannot sign or file MCA forms.
  • Company filings that need that director’s signature get stuck.
  • Late fees apply to reactivate it.

Tips for directors

  • Keep your mobile number and email with the MCA up to date – OTPs are sent there.
  • Renew your DSC before it expires, especially close to filing deadlines.
  • Never share your DSC token and password with unauthorised people.

No. Holding more than one DIN is not allowed; the extra DIN must be surrendered.
