Changing the Name of an LLP
A Limited Liability Partnership can change its name at any time with the consent of its partners, as provided in the LLP agreement. The new name must first be approved by the Central Registration Centre of the MCA and then notified to the Registrar of Companies in Form 5.
Once the Registrar approves Form 5, a fresh certificate is issued in the new name. The LLP identification number (LLPIN), PAN, bank accounts and registrations stay the same – only the name changes, so they need to be updated with the new name.

Common Mistakes to Avoid
- Pending annual filings – The ROC can refuse a name change while Form 8 or Form 11 is overdue, so clear the defaults first.
- Weak name choice – Names similar to existing companies, LLPs or trademarks are usually rejected.
- Letting the reservation lapse – The reserved name is held only for a limited period – Form 5 must be filed in time.
- Forgetting Form 3 – The LLP agreement also has to be updated and filed after the change.
- Not updating registrations – PAN, GST, bank, licences and letterheads must show the new name.
