Increasing Capital in an LLP
An LLP does not have share capital. Instead, each partner brings in a capital contribution as set out in the LLP agreement. To raise more funds from partners, the contribution amounts are increased by amending the agreement.
The partners sign a supplementary LLP agreement showing the new contribution of each partner, and it is filed with the Registrar in Form 3 within 30 days. Profit-sharing ratios can be updated at the same time if the partners agree.
