When a Partner Leaves an LLP
A partner can cease to be a partner by retirement with notice, by agreement, on death, or under the expulsion terms of the LLP agreement. The cessation is reported to the Registrar in Form 4 within 30 days.
The LLP agreement is then amended to remove the partner and settle their capital and profit share, and filed in Form 3. An LLP must always have at least two partners and two designated partners, so a replacement may be needed.
