Documents Required for Private Limited Company Registration

Having the right documents ready is the single biggest factor in how fast your company gets incorporated. Missing or mismatched details are the most common reason the MCA sends applications back. Use this checklist before you start.

For each director and shareholder (Indian nationals)

  • PAN card – mandatory for Indian nationals.
  • Identity proof – Aadhaar, passport, voter ID or driving licence.
  • Address proof – a recent bank statement, utility bill or mobile bill in the person’s name.
  • Passport-size photograph.
  • Mobile number and email ID – used for OTP verification and DSC.

For foreign nationals and NRIs

  • Passport (mandatory), notarised or apostilled as required.
  • Address proof such as a bank statement, utility bill or residence card.
  • These documents usually need to be notarised or apostilled in the country of residence.

For the registered office

  • Proof of ownership (sale deed or property tax receipt) or a rent agreement.
  • Recent utility bill – electricity, water or gas – for the premises.
  • No Objection Certificate (NOC) from the property owner.

A home address can be used as the registered office, as long as these documents are available.

Documents prepared during incorporation

  • Memorandum of Association (MOA) and Articles of Association (AOA)
  • Consent to act as director and declarations by subscribers
  • Digital signatures of all directors and subscribers

Common mistakes that cause delays

  • Name or date of birth differing between PAN and Aadhaar.
  • Address proofs that are too old.
  • Utility bill not matching the address in the rent agreement.
  • Unsigned or unclear scanned copies.
